Terms of Service

These Terms of Service (the “Terms”) govern your use of ReconScribe(the “Service”, “we”, “us”), available at app.reconscribe.com, including its accounts-payable automation and GST reconciliation features. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
ReconScribe helps finance teams process vendor invoices and reconcile their books against GST data such as GSTR-2B. It reads documents and files you provide, applies automation and AI to extract and match data, and prepares suggested entries, summaries and reports for your review. The Service is a tool that assists your own work; it does not act as your accountant, tax adviser or filing agent.
2. No professional advice
ReconScribe does not provide tax, legal, accounting or other professional advice, and nothing in the Service constitutes such advice. Reconciliation results, input-tax-credit (ITC) eligibility flags, Section 16(4) and Section 17(5) indicators, AI-generated summaries and any figures shown are informational aids only. You should consult a qualified professional before acting on them.
3. Accuracy and AI-generated output — verify before filing
- Output is produced by automation and AI models and may be incomplete, inaccurate or out of date. Document extraction, vendor-to-GSTIN matching and ITC flags can contain errors.
- You must independently verify all results against the GST portal and your own records before filing any return, claiming or reversing input tax credit, posting entries, or making any payment or business decision.
- You are responsible for the correctness, completeness and timeliness of the data you upload and of anything you file or post.
4. Your responsibilities
- Keep your account credentials secure and ensure that only authorised people in your organisation access it.
- Only upload data you are entitled to process, and ensure your use complies with applicable laws and your own obligations.
- Maintain your own independent records and backups; the Service is not a system of record or a statutory archive.
- Review every suggestion, match and report before relying on it.
5. Acceptable use
You agree not to misuse the Service, including by attempting to access other customers’ data, reverse-engineering or disrupting the Service, uploading malware or unlawful content, or using it to violate any law or third-party right.
6. Availability and changes
We aim to keep the Service available but provide it on an “as is” and “as available” basis. We may modify, suspend, or discontinue features, and we may set or change usage limits and plans. Free plans may have reduced data retention as described in the app.
7. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output is accurate, complete or suitable for your purposes.
8. Limitation of liability
To the maximum extent permitted by law, ReconScribe and its operators, owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill, or any tax, interest, penalty, demand or filing consequence, arising out of or relating to your use of, or inability to use, the Service or any reliance on its output, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to the Service will not exceed the total fees you paid to us for the Service in the three (3) months immediately before the event giving rise to the claim.
9. Indemnity
You agree to indemnify and hold harmless ReconScribe and its operators from any claims, losses, liabilities and expenses arising from your use of the Service, your data, or your breach of these Terms or any law.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or if needed to protect the Service or comply with the law. Sections that by their nature should survive termination (including Sections 2, 3, 7, 8 and 9) will survive.
11. Governing law
These Terms are governed by the laws of India, and the courts at the place of our principal business shall have exclusive jurisdiction, without regard to conflict-of-law rules.
12. Changes to these Terms
We may update these Terms. Material changes will be reflected by the “Last updated” date above and, where appropriate, notified in the app. Continued use after changes means you accept the updated Terms.
